Understand your rights and responsibilities when using SnapInvites to host event pages, invite guests, and manage RSVPs.
SnapInvites Terms of Service
Last updated: October 30, 2026
Welcome to SnapInvites, an online platform operated by Valley Tech LLC ("Valley Tech," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the SnapInvites website, web application, mobile applications, hosted event pages, RSVP features, guest messaging, and any services we provide (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms and any policies referenced in them, including our Privacy Policy. If you do not agree, do not use the Services.
Plain language summary: SnapInvites helps hosts create shareable event pages, send invitations by email, text, and WhatsApp, collect RSVPs, and manage guest lists. Guests reply without an app or an account. SnapInvites is offered only in certain countries (Section 1). You are responsible for how you use the Services (including how you contact guests), and you must follow these Terms, respect privacy and intellectual property, and pay for any paid features you purchase.
1. Eligibility and Accounts
- Minimum age: You must be at least 18 years old to create an account or place paid orders. Minors may use the Services only with the active involvement of a parent or legal guardian who accepts these Terms on the minor's behalf.
- Where the Services are offered: We offer the Services, including event pages and RSVP forms, only in certain countries, and never where offering them would be unlawful. We may limit or block access from other countries.
- Guests in other countries: We do not send texts or WhatsApp messages to phone numbers from countries where the Services are not offered, and those messages use no credits. A guest there may be unable to open an event page or reply.
- No circumvention: You may not use a VPN, proxy, or other means to access or use the Services from a country where they are not offered, or on behalf of a person located there.
- Right to deny or terminate access by geography: We may block, suspend, or terminate access, cancel orders, disable accounts, or refuse support if we believe you are accessing or using the Services from a country where they are not offered or otherwise in violation of this Section.
- Account accuracy: Provide complete and accurate information when you register, create events, add guests, or otherwise interact with the Services. Update your information promptly if it changes.
- Account security: You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.
2. Description of the Services
2.1 Event Pages, RSVPs, and Guest Management
SnapInvites may allow you to:
- Create hosted event pages (which may include sections like event details, RSVP forms, location, gallery, FAQ, and other blocks).
- Collect RSVPs (e.g., Yes/No/Maybe, party size, custom questions) from guests without requiring them to create an account.
- Manage guest lists (import/export, reminders, confirmation emails, RSVP analytics, and related tools).
- Generate calendar exports (ICS and add-to-calendar links) and shareable URLs.
- Add optional third-party gift-list or registry links for supported providers when the event has a verified physical address.
Host responsibility for guest privacy: Event pages are typically accessible to anyone with the link (and may be guessable if you choose a public slug). Do not post sensitive information on event pages. We provide controls such as hiding the exact address until a guest RSVPs "Yes," but you remain responsible for what you publish and whom you share links with.
SnapInvites mark, no ads: Every event page shows a small "Powered by SnapInvites" mark, on every plan and with an Event Pass. We do not show ads on event pages.
RSVP availability: RSVP collection, RSVP edits, and related guest actions may become unavailable based on event status, host settings, RSVP deadlines, event timing, capacity, or plan limits, even if an event page remains viewable.
Plan limits: Plans may limit public event pages, event size, messages, or other usage, as shown in the Services and at checkout. Event size is measured in one of two ways:
- On a plan, event size counts the people attending: the invited guest plus anyone in their party (plus-ones, children, partners).
- With an Event Pass, the guest limit counts every guest ever invited to that event under the Pass. Removing a guest does not free their place (see Section 5.3).
Waitlist requests: If an event size limit is full, a guest's RSVP details may be saved as a waitlist request instead of a confirmed RSVP. We may send the host a notification or email containing the guest's name, contact details provided in the RSVP form, requested party size, and event information. A waitlist request does not guarantee the guest a spot, does not confirm attendance automatically, and does not change the event size unless the host's plan or settings allow more spots and the host approves the request.
Gift-list links: If you add a gift-list or registry link, you are responsible for ensuring the link is accurate, appropriate for your guests, and permitted by the third-party provider. Gift-list providers may limit availability by country, shipping region, account status, age, or other rules. Provider names, icons, and links identify supported host-provided registry links only; SnapInvites is not affiliated with or endorsed by those providers unless we expressly state otherwise. SnapInvites may hide or disable gift-list options when your event location is not supported, when the event address is not verified, or when a provider is unavailable for the event country. SnapInvites may remove affiliate, referral, tracking, or monetization parameters from gift-list URLs you submit. We may later participate in affiliate programs, sponsored links, or other monetization arrangements for outbound gift-list links, and we will provide disclosures where required by law.
2.2 Personal Links and Short Links
Each guest gets a personal link to their invitation (for example, snapinvites.com/i/ followed by a short code). The personal link works like a key: whoever opens it can see that guest's invitation and reply or change the reply for them, and the device that opens it stays signed in to that reply (see the Privacy Policy, Section 5). Event pages also have a short general link (snapinvites.com/e/ followed by a code) that anyone with it can open.
- Guests: please don't forward your personal link. If someone else's reply shows on your device, choose "Not you?".
- Hosts: send each guest their own personal link, and share the general link only where you are comfortable with anyone who has it seeing the event page.
2.3 Beta/Development Status
During development phases, certain capabilities may be limited, manually fulfilled, or subject to delays. Features can change or be discontinued without notice, though we will provide reasonable advance notice when feasible.
2.4 Planning Tools, QR Codes, Worksheets, and Estimates
SnapInvites may provide calculators, QR code generators, worksheets, planners, wording examples, RSVP question builders, catering handoff tools, budget tools, seating or guest-count tools, and similar planning features. These tools are provided for convenience and general event-planning support only.
You understand and agree that:
- Planning outputs are estimates, drafts, or organizational aids, not professional advice.
- Catering counts, meal quantities, allergy handling, dietary accommodations, venue deadlines, postage calculations, budget estimates, and other event-planning outputs may be incomplete, inaccurate, outdated, or unsuitable for your specific event.
- For QR code tools, you are responsible for verifying the destination link, scan behavior, print quality, and any setup or activation step before sharing or printing the code.
- You are responsible for verifying all counts, dates, guest responses, dietary or allergy notes, vendor instructions, contract requirements, venue policies, and legal or safety requirements before relying on any output.
- You should confirm final catering, venue, food-allergy, accessibility, alcohol-service, budget, postage, travel, registry, and similar decisions with the relevant professional, vendor, venue, carrier, or provider.
- SnapInvites does not act as your caterer, planner, venue, legal advisor, tax advisor, health or safety advisor, alcohol-service advisor, or other professional service provider.
For catering and meal-planning tools specifically, any suggested special-meal, dietary, allergy, kids-meal, vendor-meal, or entree count is a planning estimate only. Final counts should be based on confirmed guest responses and the instructions of your caterer, venue, planner, and applicable contract terms.
2.5 Support
Subject to Section 6, support is limited to the scope expressly included in your plan or a separate written agreement. Subject to those commitments, we determine the channels, availability, scope, and prioritization of support. Support may be delayed, limited, or unavailable. No service level, dedicated assistance, custom development, or response or resolution deadline is included unless expressly agreed.
To the fullest extent permitted by law, we are not obligated to investigate, diagnose, correct, patch, update, or provide a workaround for any reported error, defect, interruption, incompatibility, or other issue unless that obligation is expressly included in your plan or a separate written agreement. We may prioritize, defer, or decline support requests, maintenance, updates, and corrections in our discretion. Purchases are based on the functionality offered at the time of purchase, not on anticipated features, future development, maintenance, or support. This Section does not limit obligations imposed by law.
2.6 Your Event Is Yours
SnapInvites provides tools for inviting guests and collecting replies. We are not the organizer, host, venue, or caterer of any event, and we are not a party to any arrangement between a host and their guests.
- Hosts are solely responsible for their events, including planning, safety, accessibility, food and alcohol, capacity, changes and cancellations, and any money they collect or refund outside the Services.
- Guests decide for themselves whether to attend, and attend at their own risk.
- Disputes between hosts and guests are between them. We may help, but we have no obligation to.
- Release: to the fullest extent permitted by law, you release the Valley Tech Parties (Section 11.1) from claims arising from any event, including attending it, and from the acts of hosts and guests. If you are a California resident, you waive California Civil Code §1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." This release does not cover our own fraud, gross negligence, or willful misconduct.
- Guests replying to an invitation: when you reply or give your details through an event page, you agree to these Terms for that use of the Services. The details you give go to the host, who decides how to use them.
3. User Content, Guest Data, and Communications
3.1 Your Content
As between you and Valley Tech, you retain any ownership rights you have in the text, images, videos, logos, artwork, and other material you submit to the Services ("User Content"), including event descriptions, guest messages, custom questions, and uploaded assets.
You grant Valley Tech a worldwide, non-exclusive, royalty-free license to host, store, use, reproduce, modify, display, transmit, distribute, and otherwise make User Content available solely as reasonably necessary to:
- Operate, improve, and support the Services.
- Deliver invitations, event pages, RSVP tracking, and communications.
- Provide customer support and troubleshoot issues.
- Comply with legal obligations.
By uploading or submitting User Content, you represent and warrant that you own the User Content or have all rights, licenses, permissions, and consents necessary to submit it and grant the license described above.
You may not upload or submit User Content that infringes, misappropriates, or otherwise violates any copyright, trademark, trade secret, privacy, publicity, personality, or other right of any person or entity.
You are solely responsible for your User Content and for obtaining all permissions and consents required for its use through the Services, including from any person depicted or identified in it.
3.2 Guest Data and Communications
If you upload guest lists or send invitations/reminders using the Services, you represent and warrant that:
- You have lawful authority to provide guest contact information to us.
- You have obtained any consent, permission, or other authorization required to contact guests by email, SMS, or WhatsApp.
- Before you send an SMS or WhatsApp message through the Services, each recipient knows you personally or has agreed to hear from you about the event, and has given any permission the law or the messaging platform requires. You will not use the Services for unsolicited, unlawful, or spam messaging, or to contact a person you have no reasonable basis to contact.
- Your communications comply with applicable laws and industry requirements (including anti-spam and telemarketing laws, such as the U.S. Telephone Consumer Protection Act).
- You did not obtain any guest's phone number or email address from a purchased, rented, or scraped list, or without the person's knowledge.
Your guest list is yours. You decide whom to add, what to ask, and what to send. For guest information you add or collect through your event page, we act on your behalf to run your event (as your service provider), and you are responsible for having the right to give it to us and for how you use what your guests tell you. Keep a record of how each guest agreed to receive texts or WhatsApp messages from you, and give it to us if we ask. If you show who's coming on your event page and a guest asks to be taken off that list, remove them. Do not use RSVP questions to collect sensitive information, such as government ID numbers, financial account or card numbers, passwords, or health information beyond what your event needs (for example, dietary or accessibility needs).
Messages are sent at your direction. When you send invitations, reminders, or your own messages through the Services, you choose the recipients, when they go (including reminders you schedule or turn on), and, for your own messages, the words; we deliver them for you. You are responsible for the messages you send and for having the recipients' permission to receive them. Before we send texts or WhatsApp messages to guests we can reach only by phone, whether you publish your event page or send from the Send screen, you confirm that you have those guests' permission to receive them, including from SnapInvites' number on your behalf. We record that confirmation with its time. Without it, we send those guests nothing by text or WhatsApp.
We may pause or stop messages from an account, event, or host whose messages draw opt-outs, blocks, or complaints at an unusual rate, or that WhatsApp or a carrier limits or flags.
If a guest affirmatively opts in through an RSVP form, we may send that guest SnapInvites marketing emails (for example, party ideas, offers, and product news). Marketing emails include unsubscribe functionality.
If you register as a host, we also send you product and hosting emails by default, some of which promote SnapInvites, as described in Section 2 of our Privacy Policy. Each promotional email has an unsubscribe link, and we do not send you more of them once you unsubscribe.
3.3 SMS/Text Message Terms (If Applicable)
We send text messages only to phone numbers in the United States and Canada. Other numbers receive WhatsApp messages under Section 3.4, except numbers from countries where the Services are not offered (Section 1), which receive neither.
If SMS is enabled, a host may send an event-related invitation, RSVP confirmation, reminder, event update, or message the host writes to a guest only as permitted by Section 3.2. A guest may also affirmatively opt in to receive future event-related text messages. Consent to SMS is not required to RSVP or attend an event. Hosts may use guest contact information and SMS permission only for their own event communications and not for unrelated promotional messages.
- Opt-out: Reply STOP to stop all texts from SnapInvites, for every event. Reply START to get them again. Texts for every host's events come from SnapInvites' own number, so a STOP applies to that number's texts from all hosts, not only the host whose message you answered. We also honor other standard opt-out words (such as END, CANCEL, QUIT, and UNSUBSCRIBE). After you reply STOP, we send one text confirming it and nothing more.
- Message frequency: Varies by host, event, and activity.
- Reminder limits: We may limit, delay, combine, or decline reminders, including by applying reasonable per-guest, per-event, account, plan, or time-period limits, cooldowns, usage allowances, or other safeguards. These limits may apply across email, SMS, and WhatsApp and may change to prevent duplicate or abusive sending, manage provider or system capacity, enforce plan allowances, or comply with law. We do not guarantee a particular number, timing, or delivery outcome for reminders.
- Fees: Message and data rates may apply.
- Help: Reply HELP, or contact us at [email protected].
3.4 WhatsApp Message Terms (If Applicable)
If WhatsApp messaging is enabled, guests whose phone numbers are outside the United States and Canada receive event messages on WhatsApp instead of SMS (except as stated in Section 1). Messages are sent from SnapInvites' WhatsApp Business account, name the host, and are about that host's event: invitations, RSVP confirmations, reminders, event updates, and messages the host writes. We send a guest WhatsApp messages only after the host confirms that guest's permission under Section 3.2, or after the guest opts in. A guest may opt in to WhatsApp updates for an event after replying ("Get updates on WhatsApp"). Consent to WhatsApp messages is not required to RSVP or attend an event.
- Opt-out: Reply STOP to stop WhatsApp messages from SnapInvites. You can also block our number in WhatsApp. If you opt out or block us, we stop sending you WhatsApp messages and may contact you by email instead, where you have given one. WhatsApp opt-outs follow WhatsApp's own rules and are separate from text opt-outs.
- Message frequency: Varies by host, event, and activity. The reminder limits in Section 3.3 apply to WhatsApp too.
- Costs: WhatsApp messages are free to receive. Your mobile carrier's data charges may apply.
- WhatsApp's terms: Your use of WhatsApp is governed by WhatsApp's own terms and privacy policy. WhatsApp (Meta Platforms) is not responsible for SnapInvites or the hosts' messages.
- Help: Contact us at [email protected].
4. Acceptable Use
You agree not to:
- Use the Services for unlawful, harmful, or deceptive purposes.
- Send spam, phishing, or otherwise unlawful messages to guests.
- Submit content that is defamatory, obscene, hateful, exploitative of minors, or otherwise objectionable.
- Upload, distribute, or facilitate malware, spam, or unauthorized data collection.
- Attempt to access or disrupt non-public parts of the Services, security features, or underlying infrastructure.
- Misrepresent your affiliation with any person or entity, or imply our endorsement without permission.
- Attempt to reverse engineer, decompile, or extract the source code of the Services, except where the law allows it despite this restriction.
- Upload, submit, use, or distribute content that infringes, misappropriates, or otherwise violates third-party rights.
- Collect, sell, or trade guest data for unrelated purposes or syndicate guest lists without explicit consent.
- Use gift-list links to mislead guests, bypass provider rules, or insert unauthorized affiliate, referral, or tracking codes.
- Harass, threaten, or abuse anyone, or use an event page or message to deceive guests (for example, a fake event or a phishing link).
- Promote or organize an illegal event or activity, or use the Services to sell goods or services that are illegal where they are offered.
- Use the Services for bulk advertising or marketing messages unrelated to a real event you are hosting.
- Scrape, crawl, or use automated means to access the Services, except search engines indexing public pages, or resell or provide the Services to others without our written permission.
We reserve the right to investigate and disable accounts or content that violate these Terms.
5. Paid Plans, Orders, and Refunds
5.1 Pricing and Payments
- Prices for subscriptions, Event Passes, and add-ons are displayed in the Services and at checkout, and may change. A price change does not affect a purchase you have already made; for a subscription, it applies from your next billing period after notice.
- Free and paid plans may include usage limits, including public event page limits, event size limits, message credits, or feature access limits. We may enforce these limits by preventing new public pages, confirmed RSVPs, messages, or other actions that would exceed the applicable plan.
- We may keep legacy usage counters internally for migration, billing, abuse prevention, or compatibility reasons, but the limits shown in-product or at checkout control unless we state otherwise.
- Who processes payments: On the web, payments are processed by our payment processor. In our mobile apps, purchases are processed by Apple (App Store) or Google (Google Play), and a service provider confirms those purchases for us. By making a purchase, you authorize the applicable processor to charge you.
- Taxes may apply and will be calculated at checkout.
- All prices are in U.S. dollars unless otherwise specified.
5.2 Subscriptions, Cancellation, and When a Plan Ends
- Automatic renewal: A subscription renews automatically at the end of each billing period shown at checkout, until you cancel. We charge your payment method at the start of each new period.
- How to cancel: Cancel online at any time: in Account for a subscription bought on the web, or in your Apple or Google account settings for one bought in an app. Cancellation takes effect at the end of the current billing period, and you keep paid access until then.
- Event Pass: An Event Pass is a one-time purchase and does not renew (Section 5.3).
- We may offer trials or promotional pricing; checkout shows their terms. A trial becomes a paid subscription when it ends unless you cancel before then.
- Public page limit: Your plan limits how many of your event pages can be public at the same time. A page counts while it is published and publicly available, until you archive or unpublish it, which makes it private. Pages for events with an Event Pass do not count toward this limit. We may update this definition prospectively to keep the product fair and prevent abuse.
- Pro guest and sending limits: Pro includes up to 1,500 spots on each event. Each guest who says yes takes a spot for everyone in their party, so a family of four takes four. Planning something bigger? Contact us and we will work with you. To protect guests and our messaging channels, we also limit how many invitations can be sent at once and over time; the Services show a limit when you reach it. Text and WhatsApp messages use message credits (Section 5.4). We may pause sending that looks abusive or unusually large (Section 3.2).
- When a paid plan ends (it expires, is canceled, downgraded, or a payment fails): an event page that is already live keeps what it was published with, such as its design, opening, questions, and guest limit, until the event is over, so your guests are not affected. But you cannot edit or save that event until you choose one of these: (1) renew the plan; (2) buy an Event Pass for that event; or (3) publish it without the paid features, which turns it back into a free page you can edit. Creating more public pages, accepting more guests, or sending more messages than your new plan allows may require one of the same steps or reducing your usage.
5.3 Event Pass
An Event Pass is a one-time purchase for one event. It is not a subscription and does not renew.
- What it covers: for that event only, the paid features shown at purchase (including the event's opening animation, where offered), up to 1,500 guests, and 500 message credits (Section 5.4). Recurring events and account features of subscription plans are not included.
- One Pass, one occasion: A Pass covers the occasion it was bought for:
- It is active until 30 days after the event's date. After that, the event page stays available as a keepsake: you and your guests can still view it, and you can export your guest list, but it cannot be edited and nothing more is sent from it.
- The event's date can move, but no later than 12 months after the date the Pass was bought for. We log every date change.
- The 1,500-guest limit counts every guest ever invited to the event under the Pass, not only the current list. Removing a guest does not free their place.
- A Pass can't be moved to another event. Duplicating an event never copies its Pass.
- Public page limit: An event with a Pass does not count toward your plan's public page limit (Section 5.2).
5.4 Message Credits
Texts and WhatsApp messages sent through the Services use message credits.
- How messages are counted: A message uses 1 credit per guest unless the Services show a higher number before you send. A message we write (an invitation, reminder, confirmation, or update) counts as one message, whatever its length. A message you write yourself counts one per part (segment); the Services show the number of parts and credits before you send. Emails do not use credits.
- Some messages use more credits: Some WhatsApp messages, such as a first invitation, a reminder to a guest who has not replied, or a message you write yourself, cost us more to send, so they may use more credits per guest, depending on the guest's country. The Services show the credit cost before you send, and you confirm it by sending. Reaching a guest by email, or from your own WhatsApp account outside the Services, uses no credits. We may change the credits a type of message or country uses at any time; a change applies only to messages sent after it takes effect, and the Services always show the cost before you send.
- Where credits come from: Plans that include messages give a monthly allowance, shown in the Services. Unused monthly credits do not carry over to the next month. An Event Pass includes 500 message credits for its event, whatever the number of guests, which can be used only for that event, while its Pass is active.
- Message packs: If we offer message packs, packs you buy belong to your account, top up your plan's or Pass's credits, and carry over until used.
- No credit for undeliverable or skipped messages: We do not charge credits for messages we skip because the guest opted out, blocked us, is not on WhatsApp, or has a number from a country where the Services are not offered. If a provider refuses a message, we return its credits.
- Credits have no cash value and cannot be transferred, sold, or exchanged for money, except as required by law.
5.5 Mobile App Store Purchases
If you obtain the Services through the Apple App Store or Google Play (each, an "App Store"):
- Your use of the mobile app must also comply with the usage rules and other terms imposed by the applicable App Store.
- In-app subscriptions and other digital purchases, including an Event Pass bought in the app, are billed and managed by the applicable App Store rather than by us directly.
- Unless otherwise required by applicable law or the applicable App Store's rules, billing, cancellation, subscription management, and refund requests for App Store purchases must be handled through the App Store account used for the purchase.
- Where the App Store permits, we may process or assist with a refund or cancellation using methods made available by the App Store. Available refund methods, processing times, and effects on subscription access are subject to the App Store's rules; some refunds may revoke paid access and cancel future renewals.
- We may suspend or terminate access to paid features if the applicable App Store reports a chargeback, reversed transaction, fraud concern, or failed renewal.
5.6 Refund Policy
Except where required by law, the following applies:
- Event Pass: You can get a full refund within 14 days of buying a Pass if no invitations have gone out from that event. "Invitations have gone out" means any guest of the event has been invited through the Services by any channel, or recorded as invited. After 14 days, or once an invitation has gone out, a Pass is not refundable.
- Event Pass and Pro: If you start paying for a Pro subscription within 14 days of buying a Pass, we refund the Pass by the same rule. A Pro free trial does not count until it converts to a paid subscription; a trial that converts within the 14 days does. Other plans do not refund a Pass.
- Event Pass bought in the app: A Pass bought through Google Play is refunded by us through Google Play under the rules above. For a Pass bought through the Apple App Store, Apple decides refunds: request one from Apple, and we will honor its decision.
- What a refund removes: When a Pass is refunded, everything it added to the event ends, including its paid features, guest limit, and included messages, and the event page returns to what your plan covers.
- Message credits: Used credits are not refundable.
- Subscriptions: Subscription payments are non-refundable once the billing period begins, except where required by law or explicitly stated in an offer.
If the Services display different refund terms for a specific offer, those terms control for that purchase.
Any refund or credit not required by law or expressly promised is discretionary, does not constitute an admission of liability, and does not create an obligation to provide similar relief in other circumstances. Refunds and cancellations are subject to the applicable offer, notice, purchase terms, and payment-provider rules, which also govern any associated change to access or renewal.
6. Mobile Application License and App Store Terms
If you download or use a SnapInvites mobile application, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the app in object-code form on devices that you own or control, solely for your internal, personal, or business event-planning use and subject to these Terms.
- App Store relationship: These Terms are between you and Valley Tech, not with Apple, Google, or any other App Store operator.
- Support and maintenance: Valley Tech, not the App Store operator, is responsible for any maintenance and support we are required to provide under applicable law, the applicable App Store terms, your plan, or a separate written agreement. The scope of support is subject to Section 2.5.
- Third-party beneficiary for Apple: If you use the iOS app, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you as they relate to your license to use the app.
- Export and sanctions compliance: You may not use or export the mobile app except as authorized by United States, Canadian, and other applicable export-control and sanctions laws.
7. Intellectual Property
7.1 Our Intellectual Property
- The Services, including design, software, trademarks, and content (excluding User Content), are owned by Valley Tech or our licensors.
- You may use the Services only for their intended purpose and subject to these Terms.
- "SnapInvites" and related marks are trademarks of Valley Tech LLC.
- Feedback: If you send us ideas, suggestions, or feedback, we may use them without restriction or payment to you.
7.2 Third-Party Intellectual Property
- Templates, illustrations, fonts, and other materials we provide in the Services may include third-party materials used under license. You may use them only within the Services and the event pages you make with them.
- You are responsible for ensuring the content you upload does not infringe third-party rights.
7.3 Copyright Infringement and DMCA Procedure
If you believe content hosted on the Services infringes your copyright, you may send a notice to our designated agent:
DMCA Designated Agent
- Agent: Copyright Manager
- Organization: Valley Tech LLC
- Address: 550 California Street, Suite 1040, San Francisco, CA 94104
- Phone: 408-444-6731
- Email: [email protected]
Your notice should include: (1) your signature (physical or electronic); (2) identification of the copyrighted work; (3) identification of the allegedly infringing material and where it is located; (4) your contact information; (5) a statement that you have a good-faith belief the use is unauthorized; and (6) a statement, under penalty of perjury, that the information in the notice is accurate and you are authorized to act on behalf of the copyright owner.
Upon receiving a valid DMCA notice, we may remove or disable access to the identified material and will promptly take reasonable steps to notify the user who submitted it.
We maintain a policy providing for termination, in appropriate circumstances, of users who are repeat copyright infringers.
7.4 Counter-Notification
If you believe material you submitted was removed or disabled because of mistake or misidentification, you may send a written counter-notification to the designated agent identified above. A valid counter-notification must include: (1) your physical or electronic signature; (2) identification of the material that was removed or disabled and the location where it appeared before removal or disabling; (3) a statement under penalty of perjury that you have a good-faith belief the material was removed or disabled because of mistake or misidentification; and (4) your name, address, and telephone number, together with a statement that you consent to the jurisdiction of the federal district court for the judicial district where your address is located—or, if your address is outside the United States, any judicial district in which Valley Tech may be found—and that you will accept service of process from the person who submitted the original notice or that person's agent.
When we receive a valid counter-notification, we will promptly send a copy to the person who sent the original notice and tell them that we will restore the material in 10 business days. We will restore it not less than 10 nor more than 14 business days after we receive the counter-notification, unless our designated agent first receives notice that the original claimant has filed a court action seeking to restrain the user from the allegedly infringing activity.
8. Third-Party Services and Dependencies
The Services may rely on or integrate with third-party providers, including providers of hosting and infrastructure, payment processing, app stores, analytics, communications (including WhatsApp), and external links or integrations.
Your use of certain third-party services may also be subject to their own terms and privacy policies. We do not control third-party services and, to the fullest extent permitted by law, are not responsible or liable for their availability, performance, content, security, or acts or omissions.
Outages, changes, discontinuation, or other interruptions involving third-party services may affect the Services.
9. Privacy and Cookies
Our collection and use of personal information is described in our Privacy Policy.
You can change which optional measurement and advertising technologies run in your browser at any time with Your Privacy Choices, in the footer of every page (see the Privacy Policy, Section 5).
10. Disclaimers and Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW:
- Except for express commitments in these Terms or the applicable purchase terms, the Services are provided "AS IS" and "AS AVAILABLE." We disclaim express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the extent those warranties may lawfully be excluded.
- The Services may contain errors, defects, delays, interruptions, incompatibilities, or incomplete functionality. Updates and maintenance may be delayed, unavailable, or may fail to identify or correct a problem.
- We do not warrant that the Services will meet every requirement or expectation, operate without interruption or error, remain available, or produce any particular result. You are responsible for evaluating the suitability of the Services, reviewing your inputs and outputs, maintaining appropriate copies of your User Content, and maintaining reasonable alternatives for time-sensitive activities.
- We disclaim all warranties regarding the accuracy, completeness, reliability, or suitability of planning tools, calculators, worksheets, RSVP question suggestions, caterer handoff materials, estimated counts, dates, budgets, or other event-planning outputs.
- We disclaim responsibility for third-party services, including payment processors, messaging providers, and analytics providers.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
11.1 Damage Limitations
In this Section 11, "Valley Tech Parties" means Valley Tech and its affiliates, directors, officers, employees, contractors, agents, licensors, and suppliers. The Valley Tech Parties will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including resulting loss of profits, revenue, data, goodwill, business opportunities, or use of the Services. These exclusions apply regardless of the legal theory asserted and even if we have been advised of the possibility of such damages, subject to Section 11.4. Each Valley Tech Party is an intended third-party beneficiary of this Section 11 and may enforce it.
11.2 Liability Cap
The combined aggregate liability of the Valley Tech Parties for all claims arising out of or relating to the Services or these Terms, whether in contract, tort (including negligence), or otherwise, will not exceed the greater of:
- The amounts you paid for the Services in the 12 months preceding the first event giving rise to liability, or
- One hundred US dollars ($100).
Multiple claims do not increase the aggregate cap.
11.3 Essential Service Element
These limitations are an essential element of the bargain between you and Valley Tech. The Services would not be provided without these limitations.
These limitations apply to the fullest extent permitted by law, including where a limited remedy fails of its essential purpose.
11.4 Rights and Liability That Cannot Be Excluded
Nothing in these Terms excludes or limits liability to the extent prohibited by applicable law, including liability for fraud, willful misconduct, or gross negligence where such liability cannot lawfully be limited. Mandatory consumer rights, warranties, and remedies remain unaffected. Nothing in these Terms restricts lawful complaints, honest reviews, or communications with regulators.
11.5 Time Limit for Claims
To the fullest extent permitted by law, any claim arising out of or relating to the Services or these Terms must be brought within one year after it arises; otherwise it is permanently barred. This does not shorten a period that the law where you live doesn't allow to be shortened.
12. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless the Valley Tech Parties from third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your material breach of these Terms or misuse of the Services.
- Your User Content.
- Your communications to guests.
- Your events, and your use of information you collect from guests.
- Your infringement of third-party intellectual property rights.
- Your violation of applicable law.
We may assume exclusive control of the defense of any matter subject to indemnification, at your expense, and you agree to reasonably cooperate. You may not settle any such matter in a way that imposes liability, an admission, or an obligation on a Valley Tech Party without our prior written consent. We will provide reasonable notice of an indemnified claim. This Section does not require indemnification to the extent a claim results from a Valley Tech Party's own fraud, willful misconduct, or gross negligence where such responsibility cannot lawfully be shifted.
13. Suspension and Termination
13.1 Termination Rights
- By you: You may stop using the Services at any time.
- By us: Subject to applicable law, we may decline renewal or terminate the Services or your access for legitimate business reasons on reasonable advance notice. We may suspend or terminate access immediately where reasonably necessary to address a violation of these Terms or our policies, abusive or harmful conduct, non-payment, suspected fraud or unlawful activity, a risk to users, guests, third parties, or the Services, a security risk, or a legal requirement, subject to any mandatory notice or cure rights. If we terminate paid service for our convenience before the prepaid term ends, we will refund the unused portion of prepaid fees or, for an App Store purchase, request or facilitate an available refund through the App Store where permitted. We will take reasonable steps to stop future renewal charges for subscriptions we terminate.
13.2 Effect of Termination
Upon termination:
- Your right to use the Services ceases on the effective termination date. Ending paid access alone does not necessarily close your account.
- Where reasonably practicable, for a planned termination that is not caused by your breach or a risk described in Section 13.1, you may use the functionality then available in the Services to retrieve your User Content before access ends. We do not guarantee a particular export format or retrieval period, and retrieval may be limited by legal, security, or technical constraints.
- We may delete your account and User Content in accordance with our Privacy Policy and applicable retention requirements. Termination does not remove rights to request access to or deletion of personal information under applicable law.
- Sections that by their nature should survive will survive.
14. Changes to Services and Terms
We may update the Services and these Terms from time to time. For material changes, we will:
- Update the "Last updated" date above.
- Provide reasonable notice via email or in-app notification.
Continuing to use the Services after changes become effective constitutes acceptance of the revised Terms.
Material changes apply prospectively from the effective date stated in the notice and do not retroactively reduce accrued rights. We will obtain affirmative agreement where required by law.
15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms are governed by the laws of California, United States, without regard to conflict-of-law principles, except to the extent consumer-protection laws where you live cannot be waived or overridden by contract.
15.2 Informal Resolution
Before filing a formal claim, you agree to contact us at [email protected] and give us a reasonable opportunity to resolve the dispute informally. We will attempt to resolve disputes in good faith within 30 days. This requirement does not prevent either party from seeking urgent injunctive relief, filing an eligible small-claims matter, or taking action needed to preserve a legal deadline.
15.3 Courts and Venue
If a dispute is not resolved informally, either party may bring the dispute in a court with jurisdiction over the matter. To the fullest extent permitted by law, the state courts located in San Francisco County, California, and the federal courts for the Northern District of California will have exclusive jurisdiction, and each party consents to their personal jurisdiction and venue.
This venue provision does not prevent a consumer from bringing a claim in another court or forum made available by mandatory law where the consumer lives.
15.4 Small Claims and Injunctive Relief
Either party may bring an eligible claim in small-claims court. Either party may also seek injunctive or other equitable relief in a court with jurisdiction to protect intellectual property rights, prevent unauthorized use of the Services, or address threatened or ongoing harm.
16. Miscellaneous
16.1 Force Majeure
We are not liable for delays or failures in performance resulting from acts beyond our reasonable control.
16.2 Assignment
You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
16.3 Entire Agreement
These Terms, together with our Privacy Policy and any other referenced policies, constitute the entire agreement between you and Valley Tech regarding the Services.
16.4 Severability
If any provision is found unenforceable, the remaining provisions will continue in full force and effect.
16.5 No Waiver
Our failure to enforce any provision is not a waiver of our right to do so later.
